Part one:
Open photoshop, I sat up my workspace at 800 by 600. I used the same background color as my web page; you can use any color you want.
Part two:
Create a new layer, click on the rounded rectangle tool and create the rectangle below.
Create the rectangle using the setting shown below, this will give you the rounded corners.
Hold Ctrl and click on the layer to select it, we need to apply a gradient to the rectangle. Click on the Gradient Tool and apply the Gradient shown below.
Apply the gradient going from the top to the bottom. With that you will get the effect below.
Right click on the Layer with the Rounded Rectangle and click Blending Options, apply the settings shown below.

With the Blending Option applied you will have the effect below.
Now create a new layer, click on the rounded rectangle tool and create a rectangle using the settings below.
Create the rectangle and position it about the previous rectangle to get the effect below.
Right click on the Layer with the smaller Rounded Rectangle and click Blending Options, apply the settings shown below.
